Terms & Conditions
Effective Date: January 1, 2025
These Terms and Conditions (“Agreement”) constitute a legally binding contract between the undersigned client (“Client”) and Rylie Godoy Services (“Coach,” “Company,” “we,” “our,” or “us”) with respect to the purchase, enrollment, and participation in any and all services, coaching programs, or related offerings (“Services”) delivered by the Coach. By making a payment, booking a session, or otherwise engaging with the Services, Client expressly agrees to be bound by the terms of this Agreement in full.

The Coach provides professional coaching services focused on career clarity, strategic development, and related personal and professional growth. The Client understands and acknowledges that coaching is a partnership designed to facilitate goal-setting, self-inquiry, and aligned action. It does not constitute therapy, medical consultation, financial advising, legal counsel, or mental health treatment. The Client further acknowledges that all Services are delivered in good faith, and while they are designed to promote progress, no specific outcomes or results are guaranteed. The Client is solely responsible for implementing strategies and completing any personal or professional actions discussed within the scope of the Services.

All fees are clearly outlined prior to purchase, and payment may be rendered in full or through a structured payment plan, where offered. By initiating payment, the Client agrees to the total cost and selected payment schedule. Due to the nature of coaching and the time and resources invested, all payments are non-refundable, whether rendered in full or in installments. Cancellations, non-use, or dissatisfaction shall not entitle the Client to any refund or credit, whether in whole or in part. Clients selecting payment plans agree to remit all scheduled payments in a timely manner. In the event of non-payment or default, Services may be suspended and outstanding balances may be pursued through collection remedies.

Coaching sessions may, at the discretion of the Coach, be recorded for internal purposes including quality assurance, note-taking, and service improvement. Transcription software, including tools powered by artificial intelligence (“AI”), may be utilized for summarization purposes. Portions of session content may be anonymized and repurposed for promotional, educational, or marketing use including, but not limited to, social media, email campaigns, or other digital platforms. No personally identifiable information will be shared publicly without the Client’s express written consent. The Client may decline inclusion in marketing materials by submitting a written opt-out request.

All resources, frameworks, processes, documentation, and materials shared or created throughout the duration of the Services, including session recordings, worksheets, templates, and strategies (“Content”), are the exclusive intellectual property of the Coach and are protected by applicable copyright, trademark, and trade secret laws. The Client is granted a limited, non-transferable, non-sublicensable license for personal use only. The Content may not be reproduced, modified, published, distributed, or exploited for commercial use without the Coach’s prior written consent. Unauthorized use of the Content constitutes a material breach of this Agreement and may result in legal action.

The Client acknowledges and agrees to take personal responsibility for scheduling coaching sessions and to provide a minimum of twenty-four (24) hours’ notice for any cancellations or rescheduling via email to [insert email address]. Sessions missed or canceled without adequate notice are considered forfeited and shall not be rescheduled or refunded. The Coach reserves the right to terminate the Agreement at any time due to inappropriate conduct, breach of terms, or failure to remit payments.
Confidentiality is a fundamental aspect of the coaching relationship. The Coach agrees to maintain the confidentiality of all information disclosed by the Client during the provision of Services, subject to certain limitations, including where disclosure is required by law or where the Coach has a good faith belief that disclosure is necessary to prevent harm to the Client or others. Confidentiality does not apply to publicly posted information, voluntarily disclosed testimonials, or anonymized content repurposed in accordance with this Agreement.

To the fullest extent permissible under applicable law, the Coach disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose, accuracy of information, or achievement of any particular result. The Coach shall not be liable for any indirect, incidental, or consequential damages arising from or related to the Services. The Client agrees to indemnify and hold harmless the Coach from any claims, losses, or damages arising out of the Client’s use of the Services or breach of this Agreement.

This Agreement shall be governed by and construed in accordance with the laws of the Ontario of Canada, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to binding arbitration or resolved in a court of competent jurisdiction within Canada, as determined by the Coach.

By proceeding with the purchase or scheduling of Services, the Client affirms that they have read, understood, and agreed to all terms stated herein and voluntarily enter into this binding Agreement. The Coach reserves the right to amend or update these Terms and Conditions at any time without prior notice. Updated terms will be published on the Coach’s website or provided directly to the Client and shall become effective immediately upon posting. Continued use of the Services following any such updates shall constitute acceptance of the revised terms.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes any and all prior oral or written agreements, representations, or understandings. No waiver or modification of any term shall be effective unless made in writing and signed by both parties.
Client acknowledges that their participation in coaching is voluntary and that they assume full responsibility for their decisions, actions, and results. Coaching is a collaborative process, and the success of any outcome depends significantly on the Client’s engagement, commitment, and implementation of the strategies and insights offered.
